These Terms of Use (“Terms”) govern your access to and use of the Legacy Supply Chain website located at legacyscs.com, including the content, features, resources, forms, and other functionality available through the website (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms of Use. If you do not agree to these Terms, please do not use the Site.

1. About Legacy Supply Chain

Legacy Supply Chain provides supply chain and logistics solutions, including warehousing and distribution, omnichannel and eCommerce fulfillment, transportation solutions, international freight forwarding, customs brokerage, dedicated fleet services, supply chain technology, and related services.

Information presented on the Site is intended to provide general information about Legacy, our capabilities, and our services. The availability, scope, pricing, and terms of any specific service may vary based on location, customer requirements, applicable laws, operational requirements, and the terms of a separate written agreement.

2. Website Terms vs. Service Agreements

These Terms of Use govern your access to and use of the Site.

Actual logistics, warehousing, fulfillment, transportation, freight forwarding, customs brokerage, or other services provided by Legacy may be subject to separate agreements, tariffs, bills of lading, warehouse receipts, quotations, statements of work, customer agreements, transportation terms and conditions, or other service-specific terms.

If there is any conflict between these Terms of Use and an applicable written agreement or service-specific terms governing services provided by Legacy, the applicable written agreement or service-specific terms will control with respect to those services.

Nothing on this Site modifies, replaces, or supersedes an existing agreement between Legacy and a customer, carrier, vendor, partner, or other party unless expressly stated in writing by Legacy.

3. Permitted Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms of Use.

You agree not to use the Site in any manner that could damage, disable, overburden, interfere with, or impair the Site, Legacy’s systems, or another party’s use of the Site.

You may not attempt to gain unauthorized access to any portion of the Site, customer portal, account, computer system, server, network, database, or other system connected to Legacy.

You may not use automated systems, scraping technologies, bots, or similar tools to access, collect, copy, or extract information from the Site in a manner that interferes with the Site or violates applicable law.

You may not use the Site to transmit malware, malicious code, fraudulent information, unlawful materials, or content that infringes the rights of another person or organization.

4. Customer Portals and Accounts

Certain Legacy customers, partners, employees, or other authorized users may have access to password-protected portals, platforms, or account functionality.

If you are provided with login credentials, you are responsible for maintaining the confidentiality of those credentials and for activity occurring through your account.

You agree to notify Legacy promptly if you become aware of unauthorized access to or use of your account.

Additional agreements, policies, or terms may apply to specific portals, systems, or customer platforms. If those terms conflict with these Terms of Use, the terms applicable to the specific portal or service will control.

5. Requests for Information, Consultations, and Quotes

The Site may allow you to request information, submit an inquiry, contact a logistics expert, request a consultation, or otherwise communicate with Legacy.

Submitting a form or contacting Legacy through the Site does not create a customer relationship, transportation agreement, warehouse agreement, brokerage relationship, contractual obligation, or other binding business relationship.

Any estimates, descriptions, pricing information, transit information, availability, capacity information, or quotations provided through or in connection with the Site are for informational purposes unless Legacy expressly agrees otherwise in a separate written agreement.

A binding commitment to provide services will arise only as provided in the applicable agreement between Legacy and the customer.

6. Accuracy of Website Information

Legacy works to provide accurate and current information on the Site. However, logistics markets, transportation capacity, service availability, facility capabilities, carrier networks, regulations, pricing, technology, and other information may change.

Legacy does not warrant that all information on the Site will always be complete, accurate, current, or error-free.

Website content should not be relied upon as a substitute for a written service agreement, official quotation, regulatory guidance, customs advice, legal advice, tax advice, or other professional advice.

Legacy reserves the right to update, correct, remove, or modify Site content at any time without notice.

7. Intellectual Property

Unless otherwise indicated, the Site and its content are owned by or licensed to Legacy and are protected by applicable intellectual property laws.

This includes, without limitation, website copy, graphics, photographs, videos, designs, logos, trademarks, service marks, reports, case studies, white papers, downloadable materials, software, databases, and other content.

You may view and use Site content for legitimate informational and business purposes.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGACY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE.

This limitation applies to claims arising from website use and does not modify any separate limitation of liability contained in an agreement governing logistics, transportation, warehousing, fulfillment, customs, brokerage, or other services provided by Legacy.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, these provisions will apply only to the maximum extent permitted by law.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Legacy and its affiliates, officers, directors, employees, agents, and representatives from claims, liabilities, damages, losses, and expenses arising from your unlawful misuse of the Site, your violation of these Terms of Use, or your infringement of the rights of another party.

15. Compliance With Laws

You agree to use the Site in compliance with all applicable federal, state, provincial, local, and international laws and regulations.

Nothing on the Site should be interpreted as authorizing any activity that would violate transportation, customs, import/export, trade, sanctions, privacy, intellectual property, or other applicable laws or regulations.

16. Governing Law

Unless otherwise required by applicable law or provided in a separate written agreement, these Terms of Use and disputes relating specifically to use of the Site will be governed by the laws of the State of Nevada, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, disputes arising specifically from these Terms of Use or use of the Site will be subject to the jurisdiction of the applicable state or federal courts located in Nevada.

Different governing-law, jurisdiction, dispute-resolution, or venue provisions may apply under Legacy’s customer agreements or service-specific terms.

17. Changes to These Terms of Use

Legacy may update these Terms of Use periodically to reflect changes to the Site, our business practices, applicable law, or other operational requirements.

When changes are made, the “Last Updated” date at the top of this page will be revised.

Your continued use of the Site following the posting of updated Terms of Use constitutes acceptance of the revised Terms to the extent permitted by applicable law.

18. Severability

If any provision of these Terms of Use is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

19. No Waiver

Legacy’s failure to enforce any provision of these Terms of Use does not constitute a waiver of that provision or any other provision.
